Terms of Service

These Terms of Service (“Terms”) govern access to and use of inbill.dev and related APIs, dashboards, and documentation (the “Service”) operated by INBIL LLC (“inbill,” “we,” “us”). By creating an account, accessing the Service, or using our APIs, you agree to these Terms.

These Terms are a general template for a developer-focused B2B API. They are not legal advice. Enterprise customers may request a separate agreement.

1. Definitions

“Customer,” “you,” or “your” means the individual or entity using the Service.

“Customer Content” means invoices, files, URLs, extracted data, and other materials you submit to the Service.

“API Key” means a bearer credential we issue for programmatic access.

2. The Service

inbill.dev provides invoice extraction and related APIs: ingest PDFs or images (or approved URLs), return structured JSON, persist rows for list/read/update operations, and offer a web dashboard for keys, usage, and billing.

We may modify features, limits, or pricing with reasonable notice where practicable. Beta or preview features may be offered as-is and withdrawn at any time.

3. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract.

You are responsible for accurate registration information, safeguarding passwords and API Keys, and all activity under your account. Notify us promptly at support@inbill.dev if you suspect unauthorized access.

4. Acceptable use

You will use the Service only for lawful business purposes and in compliance with applicable law, including export control and sanctions rules.

You will not: (a) upload malware or attempt to breach our systems; (b) probe or scan networks without authorization; (c) exceed documented rate limits or circumvent quotas; (d) resell or sublicense API access except as expressly permitted in writing; (e) use the Service to process data you do not have rights to process; (f) reverse engineer the Service except where prohibited by law; or (g) harass, defraud, or harm others.

We may suspend or terminate access that violates these Terms or poses security or legal risk.

5. Customer Content and data

You retain ownership of Customer Content. You grant inbill a non-exclusive, worldwide license to host, process, transmit, and display Customer Content solely to provide and improve the Service, including sending document data to subprocessors such as OpenAI for extraction.

You represent that you have all necessary rights and notices to submit Customer Content, including personal data that may appear on invoices.

Our Privacy Policy explains how we handle personal information. For invoice data processed on your instructions, you are generally the controller of personal data in Customer Content and we act as a service provider/processor with respect to that data.

6. API access and keys

API Keys are confidential. Do not embed keys in public repositories or client-side code exposed to end users unless you accept the risk.

We may revoke keys, throttle requests, or require rotation for security reasons.

Documentation describes supported endpoints and authentication; unsupported use may break without notice.

7. Plans, billing, and taxes

Paid plans, usage limits, and prices are described on our pricing page or order form. Subscriptions are billed through Stripe. By subscribing, you authorize recurring charges until you cancel through the billing portal or by contacting support.

Fees are non-refundable except where required by law or stated in writing. You are responsible for applicable taxes.

Free tiers and trials may change or end at our discretion.

8. Intellectual property

We and our licensors own the Service, software, documentation, branding, and all related intellectual property, excluding Customer Content.

You may not use our trademarks without prior written consent. Feedback you provide may be used to improve the Service without obligation to you.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Extracted fields are automated outputs and may contain errors. You are solely responsible for verifying amounts, tax treatment, accounting entries, and compliance decisions. The Service does not provide legal, tax, or accounting advice.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INBIL LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted by law.

11. Indemnification

You will defend, indemnify, and hold harmless inbill and its affiliates from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.

12. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate the Service or your access for breach, non-payment, risk, or discontinuation of the product with reasonable notice where practicable.

Upon termination, your right to access ends. Sections that by nature should survive (including payment obligations, disclaimers, limitation of liability, indemnity, and governing law) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules.

Before filing a claim, you agree to contact support@inbill.dev and attempt to resolve the dispute informally for at least thirty (30) days.

Except where prohibited, exclusive venue for disputes will be the state or federal courts located in Wyoming, and each party consents to personal jurisdiction there.

14. General

These Terms, together with the Privacy Policy and any order-specific terms, are the entire agreement regarding the Service.

If a provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
